Your nonprofit needs to register for charitable solicitation in any state where you’re actively fundraising from the public, regardless of your organization’s physical size or staffing levels. This includes online donations, direct mail campaigns, events, and grant applications from foundations in those states.

While some states do offer exemptions for organizations below certain financial thresholds (typically based on total annual revenue or contributions), these exemptions vary significantly by state and aren’t based on staff size or volunteer numbers. We help determine which states require registration based on your specific fundraising activities and financial situation, and can handle initial registrations, renewals, and any backfilings if you’ve been operating without proper registration.

Filing deadlines typically align with your nonprofit’s fiscal year end. If your fiscal year ends in December, most state filings are due by May 15th (with extensions available until November 15th). For June fiscal year-ends, filings are generally due November 15th (extendable to May 15th).

We track all your deadlines in our custom database system. While we can prepare some filings in advance if they don’t require your most recent Form 990 or audit, the majority of state filings require these current documents. Since most organizations extend their 990 filings and provide these documents closer to deadlines, it’s common for state filings to be submitted much closer to due dates. Extensions are available in most states, but it’s always better to file on time to avoid late fees and penalties.

Don’t panic – this is more common than you’d think, and it’s fixable. We specialize in resolving deficient registrations through backfilings, which bring your organization into compliance retroactively.

The process involves filing for previous years you should have been registered, and yes, there may be late fees and penalties, but these are usually manageable. We’ve helped nonprofits resolve complex compliance issues over our 15+ years of experience. The important thing is to get compliant as soon as possible to avoid additional penalties and ensure you can continue fundraising legally.

Our pricing is straightforward – we charge per state, per year, with no minimum spend required. Single-state clients typically invest $200-$400 annually, while multi-state nonprofits usually range from $5,000-$8,000 depending on the number of states and complexity of filings, plus applicable state filing fees.

Our service fees cover all the compliance work for that state – whether it’s charitable solicitation registrations, corporate filings, annual reports, or handling any issues that arise. We also provide registered agent services and can handle specialized filings like gift annuities and sales tax exemptions. State filing fees are separate and vary by state and filing type. Our services scale with your organization as you grow.

Timeline varies by state and filing type. Charitable solicitation registrations typically take 2-8 weeks for state processing once submitted, though some states process faster while others can take significantly longer.

Corporate registrations and amendments usually process within 1-4 weeks. If you need expedited service, many states offer rush processing for additional fees. We’ll always give you realistic timelines based on the specific states and filing types you need. Keep in mind that if your filing requires your most recent Form 990 or audit, we cannot submit until we receive these documents, regardless of when the state opens their filing window.

For the most part, yes – if you’re actively soliciting donations, receive donations of any size, or in some states simply have a donation button on your website, this will trigger registration requirements. The rules vary significantly by state and aren’t always intuitive.

Some states require registration if even one cent in donations is received from within the state, regardless of whether the donation was solicited or unsolicited. While some states do offer exemptions based on total annual revenue or contribution levels (not state-specific amounts), these thresholds and rules vary widely. Online fundraising complicates this since your website and donation capabilities are accessible nationwide.

We analyze your specific situation – where you’re incorporated, where you fundraise, your total donation amounts, and your online presence – to determine exactly which states require registration. This customized approach ensures you’re compliant without over-filing in states where you may qualify for exemptions.
